Exempt Organizations

Jones Day's Exempt Organizations lawyers have decades of experience advising nonprofits on corporate structure, innovative and complex transactions, and tax compliance. Our clients include health care organizations, trade associations, educational organizations, museums, civic groups, and foundations. Our Exempt Organizations lawyers advise these nonprofits on maintaining exemption, avoiding excess benefit, unrelated business income, private use, lobbying, and complying with the ACA.

We have successfully handled IRS audits of some of the largest nonprofits in the country, proposed denials of exemption, challenges to property tax exemption, whistleblower claims, and Congressional and state inquiries. We also have obtained several unique or first of their kind IRS rulings, including joint operating agreements, excess benefit transactions, captive insurers, integrated delivery systems, and redomestication. That experience positions us to effectively counsel exempt organizations on how to avoid significant tax problems in structuring transactions and ongoing operations and to assist in self-assessments of tax compliance.
