In the context of private funds, Emily assists clients with various structures (such as master-feeder structures and parallel funds), investment objectives (such as capital appreciation and capital preservation), and strategies (such as long/short and opportunity), as well as sectors and geographies. Her experience includes negotiating agreements, such as side letters, administration agreements, custodial arrangements, and placement agent agreements, on behalf of private funds. She also assists U.S. and non-U.S. investors in connection with potential investments in private funds.

Emily’s investment management work focuses on advising registered and unregistered investment advisers concerning SEC and state registration and exemptions, compliance matters such as investment allocation, expense allocation, principal transactions, and other conflicts of interest, custody matters, performance advertising, social media, insider trading, SEC examinations, and compliance reviews.
