Global ports company enters into container port operations agreement with Saudi Government

Jones Day advised a global ports company (as the lead sponsor) in connection with the negotiation and execution of an agreement with a Saudi Government entity, by which our client and its partners will establish a special purpose company that will invest in and manage the new container port in Saudi Arabia. The project is part of the Government Vision 2030 programme to develop the logistics sector in the Kingdom.

Jones Day has advised on all aspects of the transaction – the concession contract, the corporate structure (including the shareholders' agreement), the shareholder financing arrangements, antitrust matters (both in the Kingdom and cross-border), and the establishment of a new joint venture LLC as the special purpose company.
