Japanese company creates cross-border e-commerce platform

Jones Day advised Itochu Corporation and its affiliate in the establishment of a cross-border e-commerce platform with one of China's largest state-owned enterprises, CITIC Holdings Co. Ltd. and its affiliate. Jones Day advised on all cross-border legal aspects of the transaction to establish and operate the cross-border e-commerce platform and strategic alliance with CITIC Holdings Co. Ltd. and its affiliate, including structuring the framework of alliance, which covers system coordination, payment settlement and marketing and advertising, various call options concerning the operating entity, and intellectual property as to rights to and control over the trademarks, copyrights, operating system and apps, and compliance with IP laws for its customers products to be sold on the site, regulatory, and data privacy issues. The cross-border e-commerce market between China and Japan is expected to grow by over 18 billion USD by 2019.
