Jones Day assisted The ERM Group, Inc., a global consulting company, in the counseling, drafting, and negotiation of a Software Purchase Agreement for its acquisition of a third party Software as a Service (SaaS) software product line. Representation included spearheading substantive due diligence efforts; providing for third party open source code review and analysis; and negotiation of terms of the agreement.
