Western Atlas International involved in joint venture

Jones Day attorneys advised Litton Industries in the creation of its joint venture with Dresser to create Western Atlas International Inc., providing advice on how to establish the joint venture in 10 countries as diverse as Algeria, Oman, Saudi Arabia, and Italy.
Subsequently, Western Atlas acquired the geophysical business of Halliburton and Jones Day attorneys advised on the due diligence, corporate and tax structuring, customs laws, and related issues in 12 countries, including Nigeria, Norway, Turkey, and Yemen. This particular matter also involved complicated environmental law issues (which were resolved favorably) arising in connection with the acquisition of an equipment manufacturing plant in The Netherlands.
Subsequently, Core Laboratories -- the oil core sampling and testing part of the business -- was spun off into a separate Dutch-based group and Jones Day attorneys continue to advise Core Labs on various international tax matters.
