Jones Day advised Jubilee Motor Policies Limited on the establishment of a new company to acquire and run a Lloyds insurance syndicate. As well as the ordinary business acquisition process involving due diligence, the negotiation of warranties and indemnities and consultation with staff, there were added regulatory hurdles associated with the Lloyds business necessitating often complex arrangements to comply with the regulatory requirements.
