David Sikes has more than 17 years of experience advising clients in the areas of mergers and acquisitions, corporate governance, and venture capital transactions. He focuses his practice on the representation of technology and life sciences clients. As an active and engaged participant in the Silicon Valley legal community, David has a deep understanding of the legal issues facing cutting-edge companies and their acquirors.
David assists venture capital funds and corporate venture capital arms on venture capital financings, primarily involving acquisitions of preferred stock or convertible debt. He also advises and counsels early-stage issuers in the areas of formation and financing. He has counseled acquirors and sellers in a variety of M&A transactions in private and public contexts, including mergers, tender offers, stock and asset acquisitions, and distressed companies. His corporate governance experience includes '34 Act filings and general corporate advice, and his capital markets experience includes private company equity and debt transactions and public company equity and convertible debt issuances.
David is a member of the Corporations Committee of the Business Law Section of the California Lawyers Association and a member of the board of directors of the Stern Grove Festival Association. He is a frequent speaker for WestEd's Financial Poise.
