Alfredo Ramos focuses his practice on oil, gas, and energy transactions, as well as infrastructure and project development matters, in the United States, Mexico, and throughout Latin America. Alfredo frequently travels to Latin America to represent clients' business interests, and clients value his bilingual, bicultural abilities and perspectives as well as his in-house and law firm experience. He is a recognized leader in energy policy, having testified before the Texas Senate Natural Resources Committee on Mexico's energy reforms.
Alfredo counsels clients in the upstream, midstream, oil field services, and renewable energy sectors regarding acquisitions, divestitures, joint ventures, and a wide range of investments and commercial agreements. His experience also includes litigation and arbitration in the United States and Latin America, particularly oil and gas, trade secret, and complex contractual disputes.
Alfredo previously served as Latin America Operations Legal Director and in-house counsel for Lewis Energy, where he drafted, negotiated, managed, and administered the company's oil and gas acquisitions, divestitures, joint ventures, and operative agreements in Texas, Mexico, and Latin America. During this time he represented Lewis Energy in the drafting and negotiation of the divestiture of a substantial portion of its producing and nonproducing U.S. mineral properties to BP America.
Alfredo is president of the Hispanic Bar Association of Houston and a member of the Association of International Petroleum Negotiators (AIPN), Houston Bar Association (Oil, Gas and Mineral Law Section), and Texas Exes Houston Chapter. He is a frequent presenter on energy issues affecting the United States and Latin America.

Represented a major oil and gas operator in the drafting and negotiation of the divestiture of onshore mineral properties totaling more than $1.3 billion.
Represented a Fortune Global 20 multinational energy company in the drafting and negotiation of the divestiture of offshore mineral interests totaling approximately $400 million.
Represented a major oil and gas operator in the drafting and negotiation of the purchase of producing and non-producing mineral properties in Texas, Oklahoma, and Arkansas totaling approximately $160 million.
Represented a Fortune Global 20 multinational energy company in the drafting and negotiation of its offshore participation in deepwater Gulf of Mexico wells with another major multinational energy company totaling approximately $150 million.
Represented an energy industry private equity portfolio company in the drafting and negotiation of an operating agreement associated with E&P properties totaling approximately $52 million.
Represented an oil and gas operator in the drafting and negotiation of the farm-out of more than 130,000 contiguous acres in Texas totaling approximately $50 million.
Represented an oil and gas operator in the drafting and negotiation of the creation of a joint venture associated with its acquisition and development of more than 25,000 offshore/onshore mineral acres in Florida and oil and gas properties in the Permian Basin in the southwestern United States.
Represented an oil and gas operator in the drafting and negotiation to its participation and operations associated with its divestiture and development of a majority percentage of its working interest in more than 55,000 offshore Gulf of Mexico mineral acres.
Represented a private equity group in the formation of an investment entity and the drafting and negotiation of a joint venture associated with its acquisition and development of sand mining leases in the Permian Basin, constituting the largest private frac sand reserve holdings in West Texas.
Represented an oil and gas operator in the drafting and negotiation of its acquisition and operations of approximately 20,000 contiguous mineral acres in Wyoming.
Represented a major oil and gas operator in the drafting and negotiation of the divestiture of producing and non-producing mineral properties in New Mexico.
Represented a private equity portfolio company in the negotiation of multiple credit facilities related to the purchase of oil field equipment manufacturing facilities totaling approximately $8.5 million.
Represented an energy services company in the recovery of more than $5 million from various oil and gas operators through Texas's mineral lien process.
Mexico Energy/Latin America
Represented multiple oil and gas operators in Mexico's Round 1 business opportunity analysis, prequalification process, and bid round participation, including an operator that was awarded multiple contract areas.
Represented a multinational oil and gas operator in the drafting and negotiation of all Latin America joint venture, farm-in, farm-out, and joint operating agreements.
Represented a multinational oil and gas operator in ANH Ronda Colombia 2012 on its upstream bid round qualification and participation in various contractual areas.
Represented a multinational producer in the drafting and negotiation of a natural gas supply agreement with a Petróleos Mexicanos (PEMEX) affiliate for the transportation and sale of natural gas from Texas into Mexico.
Represented a multinational producer in managing the legal and business evaluation of constructing a cross-border pipeline from Texas into Mexico.
Global Projects and Infrastructure
Represented a global oil and gas service company in the drafting and negotiation of a multi-phase EPC contract for the construction of a 120 MMSCFD NGL and LPG recovery plant in Colombia with an aggregate transaction value of more than $775 million.
Represented a global energy EPC contractor in the drafting and negotiation of various agreements associated with its consortium RFP bid to engineer, procure, construct, and operate a 500 MMSCFD onshore natural gas pipeline and related facilities from Texas into Mexico for Comisión Federal de Electricidad (CFE).
Represented a global energy EPC contractor in the drafting and negotiation of various agreements associated with the consortium RFP bid to engineer, procure, construct, and operate three fiber-optic network projects in Peru with an aggregate transaction value of approximately $300 million.
Represented a multinational oil and gas producer in the drafting and negotiation of a midstream joint venture aid-to-construct agreement for the construction of a gathering system that gathers hydrocarbons produced from the joint venture's producing acreage.

Represented an operator in the drafting and negotiation of a crude petroleum exchange agreement.
Represented a multinational producer in the drafting and negotiation of various North American Energy Standards Board (NAESB) Master Agreements and Special Provisions with multiple leading North America midstream companies.
Represented a natural gas purchaser in the drafting and negotiation of various Edison Electric Institute (EEI) Master Power Purchase and Sale Agreements and Modified Provisions with multiple natural gas gathering companies.
