Michael McGovern advises public and private companies on the employee benefits and executive compensation elements of corporate transactions. These include mergers, acquisitions, dispositions, spin-offs, private equity, and leverage buyouts.

Michael also provides ongoing advice to public and private companies with respect to day to day executive compensation matters including equity and incentive design, implementation and administration and negotiation and drafting of employment agreements, retention programs, and separation agreements. He also advises clients regarding the administration and compliance of retirement, savings, and welfare benefit plans with the Internal Revenue Code and ERISA.

Michael is also committed to pro bono service. Most recently, he represented a victim of gang-based violence in Latin America seeking asylum protection within the United States.
