Mariana Muñoz focuses her practice on complex cross-border corporate transactions for Spanish and international clients. She advises on mergers, acquisitions, demergers, liquidations, and dissolutions of companies. In addition, Mariana has experience in commercial agreements involving agency, distribution, brokerage, and service provision agreements. She has participated in the review and drafting of legal opinions as well as in due diligence reviews and has carried out substantial administrative secretarial work reporting to the management of numerous Spanish companies.
Mariana is currently involved in strategic analysis of the problems that companies may face as a result of the coronavirus (COVID-19) in order to advise clients on the regulatory measures being adopted by the Spanish government in response to the crisis caused by the global pandemic.
Mariana has been involved in numerous national and multijurisdictional M&A transactions in collaboration with other Jones Day offices. She has advised clients in a wide range of sectors including automotive, health care, manufacturing, and financial services, among many others.
Some of the recent transactions Mariana has participated in include Investcorp's €605 million sale of Esmalglass, a leading producer of ceramic colors, to Lone Star; Lincoln Electric Holdings' €115 million acquisition of the Air Liquide Welding subsidiary of Air Liquide, a key player in the manufacturing of welding and cutting technologies; and The Timken Company's $280 million acquisition of Groeneveld Group, a leading provider of automatic lubrication solutions used in on- and off-highway applications.
