Joe Deloney's practice focuses on the formation, structuring, and operation of private funds, including private equity, venture capital, and real estate funds and special purpose vehicles. Joe's practice also includes counseling fund sponsors on internal structuring matters related to general partners, management companies, compensation, and ongoing operations. In addition, he has experience representing institutional investors in proposed investments in private funds, including negotiating complex side letters on behalf of sovereign wealth funds, banks, and tax-exempt entities.
Joe also represents private equity and venture capital firms and corporate clients in investment activities such as leveraged buyouts, mergers, acquisitions, debt and equity financings, and other strategic transactions.
Prior to joining Jones Day, Joe served as in-house counsel at GE Transportation (now Wabtec) as a Brackett Denniston Legal Fellow, where he worked closely with business teams, advising on a wide range of matters, including commercial contracts, technology transactions, and compliance and regulatory issues.
