Market disruptions like COVID-19 and related economic downturns tend to create dislocation in the M&A market around valuation metrics. In order to transact, buyers and sellers look to deal mechanisms to bridge those valuation gaps. One such mechanism is the post-closing earnout.
This presentation will focus on the situations when an earnout can be useful in M&A transactions, the nature and details around customary metrics, and how to craft effective earnout provisions. The presentation will also address earnouts from a litigation perspective, including how buyers and sellers can reduce the chance of a post-closing earnout-related dispute.
