The United States Congress just passed the most significant tax legislation in a generation. Please join us for a discussion of the Tax Cuts and Jobs Act and its impact on companies—with respect to both existing structures and planned and future transactions. This two-hour presentation will also touch on how the new legislation may affect a company's financial statements and public reporting obligations, lending structures, and executive compensation arrangements. It will provide guidance on what actions and decisions on certain matters are most advisable under the new tax regime.

Andrew Eisenberg has advised clients for the past 25 years on federal income tax issues related to corporate mergers and acquisitions. His practice includes taxable and tax-free stock and asset acquisitions and dispositions, post-acquisition restructurings, incorporation transactions, liquidating and nonliquidating distributions, application of the consolidated return regulations, and general tax consequences of transactions between shareholders and corporations. He also has extensive experience practicing before the U.S. Treasury Department and the Internal Revenue Service, including representing clients in the private letter ruling process. Andrew is lead author of the tax treatise Federal Taxation of Corporations and Shareholders, part of the CCH® suite of tax treatises.

Lori Hellkamp practices across a broad range of U.S. federal taxation matters, including corporate and international taxation and M&A. Her practice has a particular emphasis on international tax planning, compliance, and tax-efficient structures for cross-border transactions and restructurings. Lori counsels corporations facing a variety of federal and multijurisdictional tax issues, both internally and before the Internal Revenue Service. She has helped clients obtain favorable private letter rulings; seek competent authority assistance; enter into advance pricing agreements; resolve disputes at Appeals; and navigate complex tax treaty, transfer pricing, FIRPTA, and FATCA issues.

Scott Levine has advised clients for the past 20 years on the tax aspects of corporate transactions, including international and domestic mergers and acquisitions, leveraged buyouts, spinoffs and other divestitures, restructurings, financings, and joint ventures. He also has negotiated private letter rulings with the Internal Revenue Service in the corporate, financial instruments, and energy credit tax areas. Scott is currently an adjunct professor of law at the Georgetown University Law Center in Washington, D.C., and the International Tax Center at Leiden University in the Netherlands, where he teaches courses on U.S. corporate and international taxation.

Terry Maloney has more than 30 years of experience advising a broad array of clients on complex federal income tax issues. Her practice focuses on representing clients in inbound investment in stocks, securities, and private equity and real estate funds. Terry advises on the formation of funds and handles the tax aspects of transactions for foreign and domestic clients in a wide range of areas, including private equity, M&A, international joint ventures, and real estate. She is the coauthor of the BNA Portfolio on U.S. Income Taxation of Foreign Governments, International Organizations, Central Banks, and Their Employees.

Wendy Moore, a partner in the Firm's Employee Benefits & Executive Compensation Practice, has focused on equity / executive compensation and corporate governance in Silicon Valley for the past 18 years. She works primarily with technology and life sciences clients specializing in semiconductors, IoT, data analytics, SaaS, cybersecurity, cleantech, healthtech, fintech, telemedicine, medical devices, and drug development. Since joining Jones Day in 2013, Wendy has expanded her practice to include oil / gas deals and multinational M&A and counseling.
