Black Box acquired by AGC Networks

Jones Day advised Black Box Corporation (Nasdaq: BBOX) in its acquisition by AGC Networks Ltd, a majority-owned subsidiary of Essar Global Fund. The transaction was structured as a tender offer where a wholly-owned subsidiary of AGC offered to purchase all outstanding Black Box common stock for $1.10/share, representing a 26% premium to Black Box’s pre-announcement closing price.
