Valerie Roberts' practice focuses on the tax and business aspects of complex financing transactions including tax-exempt and taxable obligations, financial derivatives, and public-private ventures. She heads the Firm's Municipal Bond Tax Practice.

Valerie was the lead tax lawyer in developing a self-liquidity tender program for Auction Rate Securities for Merrill Lynch and the restructurings of all of the long-term debt of the Carle Foundation, Northwestern Memorial Hospital, and Children's Memorial Hospital. She was the lead tax lawyer in the chapter 11 filing for a 501(c)(3) entity and has favorably resolved tax disputes with respect to various tax-exempt bond financings.

Valerie also advises certain public clients on tax structuring for various TARP, TALF, PPIP, and FDIC-insured programs and represents both investment banks and commercial bank clients.

She has written comments to Treasury on behalf of the New York State Bar Association's Tax Exempt Finance Committee, the American Bar Association's Tax Exempt Financing Committee, and the National Association of Bond Lawyers on various tax-exempt financing questions. She also has written comments to the Federal Deposit Insurance Corporation on aspects of the Legacy Asset disposition programs. Valerie chaired the 2011 Tax and Securities Law Institute and is a frequent speaker at forums such as the Bloomberg Cities & Debt Briefing, the Treasury Symposium, and Bond Attorneys' Workshop as well as webcasts and conferences on risk management for municipal securities.
