Restructuring-Related Employee Benefits Matters - Overview

Employee benefits are a critical aspect of almost any corporate restructuring, whether in bankruptcy or out of court. We perform due diligence and analysis of the legal obligations associated with the many kinds of employee benefit plans and arrangements that are implicated as part of any proposed restructuring transaction, including retirement plans, health and welfare plans, and executive compensation plans. We also negotiate and draft the components of purchase and sale agreements that pertain to employee benefits matters. If a client employer needs to downsize, we have extensive experience in the design of severance and early retirement programs and compliance with WARN Act notification requirements. We also guide employers through ERISA’s fiduciary provisions.
