Phil Stamatakos has been the principal lawyer on more than 100 negotiated mergers and acquisitions, including many complex, multicountry acquisitions. He serves as outside corporate counsel to a number of public companies and private equity funds, providing advice on acquisitions, joint ventures, strategic alliances, corporate governance, fiduciary duties, takeover preparedness, reorganizations, and recapitalizations.

Phil also has represented several privately held corporations and their shareholders in shareholder disputes and related recapitalizations. His transactional practice spans a range of industries, including aerospace and defense, automotive, chemicals, energy and renewable energy, electronics, internet advertising, manufacturing, oil and gas, online travel and reservations, medical devices, outsourcing, and pharmaceuticals.

From 1985 to 1990, Phil worked in business development and contracts administration with defense contractor General Dynamics in the U.S. and Egypt. Since 1996, Phil has been an active member of the American Bar Association's Negotiated Acquisitions Committee, including its Public Company Task Force, which is drafting a model pro-buyer merger agreement with commentary, and its Asset Purchase Agreement Task Force, which drafted the ABA's best-selling model pro-buyer asset purchase agreement with commentary.

Phil was co-chair of The Chicago Bar Association's Corporate Practice Committee. He is a frequent speaker on a variety of corporate matters, including deal management, shareholders' agreements, due diligence, confidentiality agreements, post-closing integration, and purchase agreements.
