Phil Stamatakos' practice focuses on U.S. and cross-border transactions, including mergers and acquisitions, joint ventures, strategic alliances, commercial agreements and reorganizations, and corporate governance. Phil has been the principal lawyer on more than 100 negotiated merger and acquisition transactions and has coordinated and negotiated several complex multicountry acquisitions. He serves as outside corporate counsel to a number of public companies and provides them with general corporate and cross-border counseling and board advice, including advice on corporate governance, fiduciary duties, whistleblower investigations, poison pills, disclosure, and related issues. Phil has represented several privately held corporations and their shareholders in shareholder disputes and related recapitalizations. He has represented prominent companies in a range of industries, including: aerospace, automotive, chemicals, defense, energy and renewable energy, fuel control systems, industrial electronics, Internet advertising, manufacturing, oil and gas, online travel and reservations, medical devices, and pharmaceuticals.

From 1985 to 1990, Phil worked in business development and contracts administration with defense contractor General Dynamics in the U.S. and Egypt. Since 1996, Phil has been an active member of the American Bar Association's Negotiated Acquisitions Committee, including its Public Company Task Force, which is drafting a model pro-buyer merger agreement with commentary, and its Asset Purchase Agreement Task Force, which drafted the ABA's best-selling model pro-buyer asset purchase agreement with commentary. Phil has served as co-chair and vice chair of The Chicago Bar Association's Corporate Practice Committee. He has spoken at seminars and professional gatherings on a variety of corporate matters, including deal management, shareholders' agreements, due diligence, confidentiality agreements, post-closing integration, and purchase agreements. In 2001, Phil was profiled by Law Bulletin Publishing Company as one of "40 Illinois Attorneys Under 40 to Watch." Currently, he is on the advisory board of DealLawyers.com, an online resource for lawyers in the mergers and acquisitions area. He has been on the board of directors of the Legal Aid Bureau of Chicago for many years.
