Pat Villareal is nationally recognized as an advisor and a litigator for public companies and their directors and officers facing securities and corporate governance litigation and related matters. She co-chairs the Firm's Securities and Shareholder Litigation & SEC Enforcement practice. She has been highly successful in winning securities cases — in motions to dismiss under the Private Securities Litigation Reform Act, in motions for summary judgment, and in Daubert motions.

• Michael Stores and present and former directors and officers in securities actions in Texas federal court and class claims in Dallas state court

• SourceCorp and present and former directors and officers in securities and derivative claims in Texas federal and state court

• ACI Worldwide and present and former directors and officers in securities and derivative claims pending in New York federal court

• Dana Corporation in derivative claims pending in Ohio federal court and

• Outside directors of Nabors in securities and derivative claims pending in the Southern District of Texas federal court.

Pat has also represented public companies and private equity clients in response to claims arising from mergers and acquisition and recent representative matters include:

• Morgan Stanley in derivative and class action claims pending in Tarrant County, Texas and

• UICI in several consolidated class actions pending in Dallas County, Texas and in the District Court of Oklahoma.

Her practice also includes representation of boards of directors and board committees, internal investigations, counseling in corporate governance matters, and extensive work in director and officer indemnification and insurance issues.
