Pat Toher advises market leaders in a broad range of industries on complex outsourcing agreements and technology transactions of all kinds. He has structured and negotiated agreements for the outsourcing of IT functions and business processes, including HR, payroll, financial and accounting, facilities management, benefits administration, check processing, utilities management, procurement, and warehouse logistics. Many of these deals involve global operations or services performed offshore, and he is well-versed in crafting practical market-based solutions to complex multijurisdictional business and legal issues.

In addition, Pat has extensive experience counseling clients in a broad range of technology transactions, including software licensing, ASP or cloud services, patent licensing, technology development projects, strategic alliances, and manufacturing and distribution relationships. He also advises on IP- and technology-related issues arising in M&A deals.

Pat's clients include Bunge Limited, Childrens Hospital Los Angeles, Dana Corporation, Diebold, Hotels.com, ICANN, Invensys, Neiman Marcus, Pier 1 Imports, R.J. Reynolds Tobacco, Tokyo Electron Limited, and Washington Mutual Bank.

Pat is a member of the United States Council for International Business, serving on the Information, Communications and Technology Policy Committee and the Domain Name Working Group. He is also a member of the Dallas Bar Association.
