James Dougherty advises public and private companies on mergers and acquisitions, corporate governance, takeovers, takeover preparedness, joint ventures, and general corporate counseling matters. In the securities and commercial bank financing arenas, James has represented issuers, borrowers, underwriters, and administrative agents in private placements, IPOs, 144A offerings, and commercial lending transactions.
Representative M&A transactions include: Cliffs Natural Resources in its acquisition of Consolidated Thompson, The Lubrizol Corporation in its sale to Berkshire Hathaway, Goodrich Corporation in its merger with United Technologies, the special committee of Hawk Corporation in connection with its sale to the Carlisle Companies, Nationwide Mutual's going private acquisition of Nationwide Financial Services, and multiple transactions for OM Group, including the acquisition of Rockwood's electronics business and the acquisition of VAC of Germany. James also represents New York-based investment banks in their capacity as financial advisors to acquirers and targets in public merger transactions.

Schulman, Developers Diversified, Diebold, Goldman Sachs, Harris Corporation, Jefferies, KeyBanc Capital Markets, Lincoln Electric, Molycorp, Nordson, Olympic Steel, Park-Ohio, PolyOne, Resilience Capital Partners, Sherwin-Williams, J.M. Smucker, STERIS, and Timken.
James serves as a member of the Firm's Technology Committee and is the hiring partner for the Cleveland office. James is member of Leadership Cleveland's Class of 2011 and serves as a director of Cleveland Leadership Center.
