Diversified multinational company receives worldwide competition law clearance for its acquisition of DuPont's INVISTA

Jones Day represented a diversified multinational company as worldwide antitrust counsel in its acquisition of DuPont's INVISTA, a transaction which involved the coordination of multijurisdictional merger review and notification filings. The fiber businesses of INVISTA, the world's largest integrated fiber and intermediates business with 18,000 employees and 50 global manufacturing sites, had been an important part of DuPont for many decades. In order to facilitate the efficient exchange of information between numerous parties, Jones Day served as the primary contact point and intermediary in dealing with all international regulatory contacts. Ultimately, it was determined that antitrust filings in the United States, Brazil, Canada, the Czech Republic, the European Union, Japan, Mexico, South Africa, Taiwan and Turkey were required, in addition to foreign investment-related filings in several further jurisdictions. Through a careful analysis of the implicated markets, we were able to demonstrate to the merger control authorities around the world that the transaction should be cleared despite related activities in the worldwide man-made fibers industries. All necessary approvals were in place at closing.
