Main Practice

Corporate Real Estate Services Overview

Jones Day’s Corporate Real Estate Services (CRES) Practice provides a full range of legal services related to the ownership, development, operation, and finance of real estate and related facilities to clients who occupy real estate as a necessary support to their core businesses outside the real estate industry.  The CRES Practice assists businesses by bringing market-leading approaches to the real estate process in order to reduce the cost and maximize the value of corporate real estate assets.

The Jones Day Corporate Real Estate Services Program

We not only offer value in single real estate projects of significance but also contribute as regular members of clients’ legal and management teams by bundled or partnering relationships.  The ability to know the client and design an approach that maximizes economies of scale can have a major impact on both the overall legal and other costs to the client and, often, on the quality of result obtained.

An Integrated Approach To Real Estate

The CRES Practice provides overall counseling with respect to hard asset activities and, as needed, borrows from the appropriate talents and experience of real estateconstructionfinancehealth caretaxenvironmentalenergylitigation, and other professionals within the Firm.  This allows us to recommend and implement optimal solutions for a full range of plant and facilities requirements. Assignments span everything from general, recurring situations to specialized, one-of-a-kind applications:

  • Acquisition and disposition of sites and facilities;
  • Office, industrial, retail, and warehouse/distribution leasing;
  • Subletting or other disposition of excess space;
  • Real estate brokerage arrangements, increasingly including complex preferred provider, “outsourcing,” and multinational service arrangements;
  • A full range of both traditional and structured financing products;
  • Design, construction, and renovation projects;
  • Design and construction contract systems and training programs;
  • Traditional and alternative dispute resolution;
  • Environmental planning, consulting, and management;
  • Tax-driven transactions and considerations;
  • Cogeneration and alternative energy projects and planning, including strategic advice and energy outsourcing in an increasingly deregulated purchasing environment;
  • Real estate implications of corporate reorganizations, including exit strategies for redundant facilities in the post-merger and acquisition context;
  • Complex industrial facilities separations and disaggregations;
  • Charitable endeavors structured to provide exit opportunities with respect to excess real estate;
  • Build-to-lease and build-to-own facilities; and
  • Sale/leaseback transactions.

Distinguishing Factors

Jones Day’s CRES Practice offers the following advantages, which, in combination, are distinctive among providers of real estate legal services:

Geographic Diversity. With 30 offices, Jones Day provides locations in major financial and other business markets across the United States and around the world.

Nationwide and Global Project Management Capability. The range of projects in which the Firm is active results in CRES lawyers being regularly involved in property matters spanning all 50 states, Europe, Asia and many other jurisdictions.  This extensive experience in the management and structuring of transactions worldwide is supplemented, beyond Jones Day’s own locations and lawyer base, by the Firm’s ability to identify and coordinate with independent lawyers and firms, whether in the United States or overseas, with suitable qualifications and experience.

Interdisciplinary Approach.  The organization of both the Firm and the CRES Practice team is founded upon our single partnership and cooperative, client-centered orientation. This ensures that the most appropriate and qualified individuals are available, on a timely and cost-effective basis, to address even the most complex and unusual client problems.

Sensitivity to Cost. For many Jones Day clients, the CRES Practice has achieved unexpected savings through the reduction or containment of real estate-related legal expenditures, and by the reduction of management time and distraction made possible through a better understanding of the goals and risks preferences of the client at the outset.  In addition, Jones Day is a market leader in structuring alternative billing arrangements for comprehensive engagements.

Construction Capability. Within the CRES Practice are prominent lawyers, widely recognized for their specialty practice in design, development and construction law.  These professionals provide all elements of transactional construction project counseling, documentation, and advocacy.  Jones Day offers varied and creative approaches to traditional design and construction contracting, as well as the development of client-specific construction document systems, including manageable methods of training and responsibility to permit client personnel to implement and monitor in-house programs for repetitive construction needs.
