Carolyn Lee is widely recognized for her extensive experience in state and local taxation, both transactional and in controversies. Her transactional practice encompasses planning for corporate mergers and acquisitions, partnerships, and LLCs; structured finance; asset sales and acquisitions; workouts and bankruptcies; internal structuring for issues of nexus; combination and apportionment; state and local tax planning for high net worth individuals; and the taxation of special entities such as utilities. She draws on her federal tax background to provide special insights to integrate state and local tax advice with traditional federal planning.
Her controversy practice includes federal, state, and local tax audits; litigation; and advising clients considering voluntary disclosure agreements, amnesties, and financial reporting issues relating to state and local tax compliance.
Carolyn has served as chair of the Tax Section of the New York State Bar Association and as chair of the State and Local Tax Committee of the Association of the Bar of the City of New York. She is a member emeritus of the New York City Tax Forum and a Fellow of the American College of Tax Counsel. She has served on advisory boards for the New York State and City Commissioners of Taxation and Finance and the State and City Tax Appeals Tribunals. She coauthored Federal Taxation of Real Estate: A Guide for Advisors and Investors and the BNA Portfolio "New York State Sales and Use Taxes" and continues to write and speak frequently on topics relating to state and local taxation.
